About this role:

Wells Fargo is seeking a Senior Counsel...


In this role, you will be:

  • Providing local law advice and counsel on cross-border transactional and regulatory issues;

  • Provide advice on pre-transaction structuring and provide transaction legal support and transaction management on debt capital markets transactions;
  • Assist in the negotiation of derivative agreements including ISDA/CSA/GMRA;
  • Identifying and mitigating transaction risks and providing creative, problem-solving legal input to new product and new initiative development;
  • Working independently with business units to help develop and execute their business strategies and objectives, particularly in obtaining requisite approvals from regional and global business lines or Head Office committees;
  • Advising on regulations in various APAC jurisdictions affecting the investment banking and capital markets line of business , in particular on the ability to market, solicit and conduct business in such APAC jurisdictions, working with Compliance Department as appropriate;
  • Communicating regularly and co-ordinating with Head Office and other regional and global Law Department colleagues, in particular adhering to policies and procedures in retaining and managing external counsel relationships and all related legal expenses, particularly on transactions;
  • Consulting with and advising clients and representing Wells Fargo in dealing with others inside and outside the organization, as appropriate;
  • Keeping other Law Department and line of business colleagues updated on Asian Pacific legal developments and their impact on Wells Fargo's businesses in the Asia-Pacific region and identifying impacts to the global business
  • Partner with business leaders and management of other corporate departments to develop and implement risk management programs


Required Qualifications:

  • Duly qualified lawyer admitted to practice law in Hong Kong, England, the United States, other common-law jurisdictions, possessing circa 5 years of experience practising law with a major law firm or financial services organisation
  • Substantial experience in Asia representing international financial institutions on capital market transactions and excellent understanding of the APAC regulatory environment  
  • Good technical knowledge of relevant laws with respect to investment banking and capital markets,
  • Good technical knowledge and ability to negotiate derivative agreements including, but not limited to ISDA/CSA/GMRA/GMSLAs
  • Knowledge of US securities laws and banking regulations (and how they impact global coverage models) would be useful
  • Ability to manage projects and work with multinational and multidisciplinary project teams
  • Excellent drafting, derivative agreement negotiation and organisation skills
  • Flexible, proactive, creative and entrepreneurial approach
  • Strong business judgment and commercial attitude
  • Strong interpersonal skill and co-operative, team oriented approach
  • Fluency in English is essential and fluency in an Asian language (especially Chinese, Japanese and/or Korean) is highly desired
