Key Responsibilities

Lead small & medium size acquisitions, divestitures, and joint ventures transactions on a cross boarder basis.  Support large scale transactions as part of broader M&A team

  • Lead internal and external deal team resources including diligence and negotiations
  • Responsible for AMAT’s view of value and price
  • Understand of deal structure options and contract terms & conditions
  • Supports business units in developing strategic fit analysis, and evaluating deal structure and process options
  • Presents findings and recommendations to executive M&A committee supports Investment sub-committee of Board and Board meetings

Responsible for analytical framework of transaction evaluation

Manages M&A deal staffing requirements, deal process and presentation

Develop M&A staff and deal capabilities

Effective communicator with strong leadership skills

Functional Knowledge

Depth of knowledge and experience relating to valuation modeling for acquisitions, divestitures, and joint ventures, including preparation of the following analysis: Discounted Cash Flow, Market Multiple, Precedent Transactions, and Accretion/Dilution.  Oversee base case and synergy case assumptions and projections in conjunction with business unit staff.  Develops other ad hoc analysis (e.g. leveraged buy-out models). 

Business Experience

Experience in M&A in technology or related fields preferred. 

Other Qualifications

Education: Bachelor's Degree - MBA preferred

Years of Experience: 8 to 10 years M&A transactional experience; with 2 to 3 years leading M&A transactions
