A challenging opportunity to advise the Credit Investments Group (“CIG”), a leading credit alternatives business within the Asset Management Division of Credit Suisse in connection with transaction documentation related to separately managed accounts, commingled funds and CLO transactions. * Draft and negotiate investment management agreements and review a wide range of documentation, including term sheets, engagement letters, warehouse agreements, prospectuses, indentures, credit agreements, opinions, non-standard purchase and sale agreements, non-standard assignment/participation agreements, ISDA master agreements, GMRA/MRA agreements and other financing documents, as well as ancillary agreements such as confidentiality agreements, audit comfort letters and non-reliance letters. * Collaborate closely with the front office to understand their objectives in order to fulfill the role of a strategic advisor by facilitating the achievement of their goals in an efficient and compliant manner. * Provision of day-to-day legal advice regarding portfolio management and investment advisory duties and obligations, including providing interpretive advice on investment guidelines and other contractual provisions. * Development of structuring solutions to meet legal, regulatory, tax requirements and investor demands. * Effectively collaborate with other corporate functions as necessary, e.g., Compliance, Risk, Tax and Middleand Back Office. *Your future colleagues* This team is based in Raleigh.
