We are currently looking for a hardworking individual to join the Corporate Secretary Americas Team to assist with general corporate secretary matters as well as with respect to various elements of planning and administering to the Board of Directors of the US Intermediate Holding Company and its subsidiaries. * Provide general assistance with routine corporate secretary matters, such as formations, dissolutions (including serving a key role in legal entity rationalization projects), drafting board resolutions, consents, secretary and incumbency certificates * Manage annual officer and director election process * Assist with maintaining internal corporate database of key corporate information and documents; prepare ad hoc reports, as needed; work in close coordination with counterparts in Wroclaw, Poland Corporate Secretary team with respect to US corporate secretary matters * Provide general assistance with US Board meetings, including assistance with scheduling meetings, preparing draft agendas, liaising with meeting presenters as well as preparing and disseminating Board and Committee materials * Assist with tracking and closing action items flowing from Board and Committee meetings to ensure they are timely addressed * Assist with maintaining internal information, including a forward agenda of planned discussion topics * Prepare and/or review internal and external documentation regarding the firm's organizational structure, director and officer information and related matters * Respond to internal and external queries relating to corporate legal structure information * Administer signing authorities processes for the Americas Region * Liaise with internal business partners; respond to audit and regulatory requests * Conductresearch, as needed *Your future colleagues* We are a small team that values collegiality and a strong work ethic.
