The Loan Negotiation Team ("LNT") sits within the Legal Function of HSBC Bank USA, N.A. ("HBUS"). LNT is a small but dynamic team of legal professionals that supports the Commercial Banking ("CMB") and Global Banking ("GB") business lines within HBUS. Among other services, CMB and GB provide corporate clients with a wide variety of credit and lending products, including working capital revolvers, term loans, acquisition financing transactions and other loan financing solutions. LNT provides a wide variety of legal services to these growing wholesale banking business lines, including developing, drafting and negotiating credit and lending documentation, supporting important bank-wide projects and initiatives and providing transactional support and guidance to various critical stakeholders within HBUS. This Negotiator's primary duties will include providing critical support relation to HBUS's LIBOR/interest rate benchmark transition plans, as well as to a variety of special projects, strategies and programs. This Negotiator's will work directly with both relationship managers, internal stakeholders and external clients in all phases of the loan closing process, with a particular focus on reviewing, drafting and negotiating financing agreements. The Negotiator should have significant experience handling lending and other secured financing transaction matters, be comfortable interacting with senior stakeholders within the Bank as well as those representing our valued clients, and have a commitment and enthusiasm for providing exceptional work product and service.

Qualifications

Employment eligibility to work with HSBC in the U.S. is required as the company will not pursue visa sponsorship for these positions
  • 2-5 years' experience drafting, reviewing and negotiating loan documentation for credit facilities, commercial mortgage loans or other financing transactions is required. Juris Doctor Degree and admission to the New York State Bar a plus.
  • Experience working for or representing financial institutions is required. Experience working at a law firm or corporate legal department focused on financing transactions is a plus.
  • Experience with and working knowledge of financing transactions is required. Knowledge of the Uniform Commercial Code and/or experience working on cross-border or cross-jurisdictional matters a plus.
  • Able to confidently, commercially and professionally negotiate deal terms to achieve positive results and mitigate risk for the bank
  • Able to clearly and succinctly explain the impact of contractual provisions and legal risk to internal and external stakeholders
  • Must be highly organized and able to remain calm and composed under pressure.
  • Must have a dynamic, upbeat personality and positive attitude.
  • Able to quickly establish trust among stakeholders
  • Able to multi-task and successfully manage a continuous high volume of work.
  • Enjoy fast-paced work, but remain laser focused on attention to detail

  • Due to the transactional nature of the role, must be willing to be available as-needed outside of normal business hours to accommodate client and team needs.
