POSITION PURPOSE

The VP of Contracts Administration is a commerical role responsible for strategy, implementation and execution of a world class contracting organization. This includes order management and fulfillment, customer service and support, commercial aspects of contract negotiations, managment of existing contracts, and the administration of customer claims.

ESSENTIAL FUNCTIONS

Strategy and Alignment

  • Accountable for customer contracting strategy and to ensure alignment with business, commercial, operational and supply chain objectives and initiatives
  • Leads the Order Management & Fulfillment, Customer Service and Support, Contract Negotiation, Contract Management, and Claims Management functions
  • Leads timely and disciplined administration and commercial execution of all contractual rights and obligations (e.g., product lifecycle (“PLC”) process adherence)
  • Leads a strong culture of change management regarding acceptance of and adherence to Woodward contract policies and activities (e.g., Ts&Cs changes), and associated communication through the organization

Contract Negotiation

Leads all commercial aspects of an effective Contract Negotiation team that:

  • Has overall accountability for the negotiation of contracts, working in close collaboration with the legal team on the drafting of contracts, including revising and execution of all the Business Group’s sales agreements in alignment with strategic, commercial, and operational objectives
  • Collaborates with the Sales organization on contractual framework, including scope and key terms
  • Engages with the contracts team within the Legal organization in connection with drafting of customer agreements to ensure contractual terms properly and unambiguously reflect the commercial intent
  • Collaborates with and supports the Legal team to ensure effective commercial and functional reviews of contracts, including compliance with applicable company policies
  • Ensures contracting activities are done in accordance with the Product Life Cycle (PLC) stage gate process

Order Management and Fulfillment

Leads an effective Order Management and Fulfillment organization that:

  • Reviews purchase orders to ensure POs align with commercial framework and any applicable overarching agreements, terms & conditions, and the like, and identifies any deviations
  • As appropriate, accepts, takes exceptions to, modifies, and/or rejects POs and terms & conditions
  • Accurately enters agreed upon customer orders
  • Requotes existing business as applicable, including original equipment and aftermarket repair, maintenance and overhauls
  • Manages demand inputs from both customers and internal Marketing organization to ensure accurate and effective demand forecasting
  • Provides input for inventory and operations planning within the Company’s Sales, Inventory and Operations Planning (SIOP) process to ensure the Business Group timely and effective meets its delivery obligations
  • Manages delivery schedules for products and services, including as applicable, spares and repairs quotes
  • Timely and efficiently addresses issues and claims in connection with delivery, service and turnaround time

Customer Claims Management

Leads a Customer Claims Management team that:

  • Provides world-class customer service and support in connection with issues pertaining to quality, cost, warranty, and the like, as well as escalated claims regarding delivery
  • Manages customer scorecards including incorporating issues reported by the Sales or other functional teams
  • Recommends and quotes upgraded repairs, maintenance, overhauls and other product and services as appropriate
  • Administers and executes under all express and implied warranty claims to ensure adherence to our obligations, including the rejection of out-of-scope warranty claims and the quoting of service/repairs for such matters
  • Addresses non-warranty product claims, including collaboration with all applicable functions for final and effective resolution
  • Supports the Corrective Action Board, field retrofits and recalls, and related campaigns and processes, and ensures repair work is conducted in accordance with agreed to commitments to customers
  • Leads the negotiation with regard to resolution of all customer claims

Contract Management

Leads a Contracts Management team that:

  • Manages contracts to ensure compliance with Woodward’s obligations and enforcement of Woodward’s rights, such as design changes and associated assertions, pricing (including price escalation/de-escalation, volume-based pricing, rebates, commodity sensitive pricing, etc.), liquidated damages, payment and payment terms, measuring actual performance against contractually stipulated metrics, and the like
  • Track and take appropriate measures with regard to contractual triggers and events such as milestones (development, production delivery, etc.), price expiration, product phase changes, contract expiration or termination, etc.
  • Ensure timely and disciplined administration of and execution in connection with all contractual rights and obligations and coordinates with internal stakeholders as appropriate (e.g., PLC process adherence, coordination with the program management office on scope and requirements changes)
  • Ensure proper administration and execution under all service agreements
  • Engages with applicable company and external stakeholders to ensure legal and regulatory compliance, including government contracting, FAA regulations, DOT requirements, trade compliance, etc.
  • Maintains agreements within Woodward’s Contract Management System and ensures all agreements and relevant information are timely and accurately maintained in the system
  • Manages contract revenue recognition requirements including providing Global Finance applicable information
  • Provides cross functional support as needed regarding contractual matters (e.g., accounts receivable, supply chain matters, etc.)

OTHER FUNCTIONS

  • Provides cross-functional support as may be directed by company leadership, including the Business Group President, the Corporate Vice President, Global Supply Chain, and the Corporate Vice President & General Counsel.

EDUCATION OR FORMAL TRAINING

  • US – Bachelor's Degree in Arts/Sciences (BA/BS) required
  • US – Master's degree in Arts/Sciences (MA/MS) preferred

EXPERIENCE

  • 10+ years’ experience within a sales and/or contracts administration function required
  • 5+ years’ experience in senior leadership required
  • Experience managing contracts with a technical/engineered product serving complex accounts and channels; including commercial dispute settlement preferred
  • Track record of results working for a multinational company (companies) with a diverse, global customer base preferred
